Found a plane that I like, but....

I found a plane that I like, but it is priced 25% more than what I think it is worth. Great times, fresh engine and prop, good cosmetics but the panel is Total Crap. Paying the asking price and fixing the panel would put my cost at 35% more that what I feel I could sell it for.
How do you make an offer when the asking price is way out of line?
